Terms of Service — VADUM LIMITED

In short: VADUM LIMITED provides a software interface only. We do not process payments, hold your money or cryptoassets, or execute crypto transactions. Those regulated activities are carried out by independent third-party providers (including Stripe, Mercuryo and Onramper), each under their own terms.

1. About us

These Terms of Service ("Terms") govern your access to and use of the website and interface operated by VADUM LIMITED ("VADUM", "we", "us" or "our"), a company registered in England and Wales under company number 17403397, with its registered office at 61 Bridge Street, Kington, United Kingdom, HR5 3DJ.

By accessing or using our website (the "Site"), you agree to be bound by these Terms. If you do not agree, you must not use the Site.

2. Our role and our partners

VADUM operates a technology interface that helps you discover and access third-party services for buying cryptoassets with fiat currency. We act as an intermediary interface and, where applicable, a referrer to independent providers.

VADUM does not:

process, hold, or transmit your payment or funds;
take custody of, control, or hold any cryptoassets on your behalf;
set the final exchange rate, fees, or limits that apply to a transaction;
carry out the sale, purchase, exchange, or delivery of cryptoassets; or
perform identity verification (KYC) or anti-money-laundering checks.

These activities are performed by regulated or licensed third-party providers ("Providers"), which currently may include Stripe, Mercuryo and Onramper. Your transaction is completed on a Provider's own platform and is subject to that Provider's terms, pricing and verification requirements.

3. Eligibility

To use the Site, you confirm that you:

are at least 18 years old and have legal capacity to enter into a contract;
are not located in, or a resident of, any jurisdiction where using the Site or the Providers' services is prohibited;
are not subject to any sanctions or listed on any prohibited-persons list; and
will comply with all applicable laws in your jurisdiction, including tax obligations.

Providers may impose additional eligibility, verification and availability requirements. Meeting our eligibility criteria does not guarantee that a Provider will accept or complete your transaction.

4. The service

The Site allows you to request an indicative estimate for buying cryptoassets with fiat and to be routed to a Provider to complete the transaction. Any amounts, rates, fees or delivery times shown on the Site are estimates for illustration only, are not guaranteed, and do not constitute an offer. The binding terms of any transaction are those presented to you by the Provider at the point of checkout, which you review and accept directly with the Provider.

We do not guarantee that the Site, any Provider, any asset, or any payment method will be available at any given time or in your location.

5. Third-party providers

When you proceed to checkout, you leave VADUM's interface and interact directly with a Provider. Your relationship for the payment and the cryptoasset purchase is with that Provider, not with VADUM. You are responsible for reading and accepting each Provider's terms and privacy notice.

VADUM is not responsible or liable for the acts, omissions, pricing, fees, availability, verification decisions, delays, or failures of any Provider, nor for any funds or cryptoassets handled by a Provider. Any dispute regarding a payment or a cryptoasset transaction must be raised with the relevant Provider.

6. No financial advice

Nothing on the Site constitutes financial, investment, legal, tax or other professional advice, or a recommendation, solicitation or offer to buy or sell any cryptoasset. We do not assess suitability or appropriateness for you. You are solely responsible for your decisions and should seek independent advice where appropriate.

7. Risk warning

Cryptoassets are high risk. Their value can be extremely volatile and may fall as well as rise. Cryptoassets are largely unregulated in many jurisdictions and you may not be protected by financial-services compensation schemes or an ombudsman. You could lose all of the money you invest. Only buy what you can afford to lose.

8. Acceptable use

You agree not to:

use the Site for any unlawful, fraudulent or harmful purpose, including money laundering, terrorist financing, or sanctions evasion;
attempt to bypass, disrupt, reverse engineer, or gain unauthorised access to the Site or its systems;
provide false, inaccurate or misleading information; or
use the Site in a way that infringes the rights of others or violates any law.

We may suspend or terminate your access to the Site at any time if we reasonably believe you have breached these Terms.

9. Intellectual property

All content, trademarks, logos, and software on the Site are owned by VADUM or our licensors and are protected by law. The "VADUM" name and logo are our property. Third-party names and logos (including Stripe, Mercuryo and Onramper) are the property of their respective owners and are used for identification only; their appearance does not imply endorsement of VADUM by them. You are granted a limited, revocable, non-exclusive licence to use the Site for its intended purpose.

10. Limitation of liability

The Site is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded under applicable law.

Subject to the above, VADUM shall not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, funds, or cryptoassets, arising out of or in connection with your use of the Site or any Provider. Our total aggregate liability to you arising from or relating to the Site shall not exceed £100.

11. Indemnity

You agree to indemnify and hold harmless VADUM and its directors, officers and employees from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

12. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

13. Governing law and jurisdiction

These Terms and any dispute arising out of them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, subject to any mandatory rights you may have as a consumer in your country of residence.
